Terms of Service
The agreement between OpsIQ and the people, teams and businesses that use our products and services.
1. The agreement
These Terms of Service ("Terms") govern your access to and use of OpsIQ — the AI operating layer software product, the OpsIQ Cloud platform at cloud.opsiqai.com, the OpsIQ Self-Hosted distribution, the developer APIs, and this marketing website. By creating an account, downloading the product, or using any OpsIQ service, you agree to these Terms.
If you accept these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Eligibility
You must be at least 18 years old, capable of entering into a binding contract, and not barred from using the service under applicable law. Accounts must be opened in your own name or in the name of an organisation you are authorised to represent.
3. Plans, billing & renewal
- Cloud: billed monthly or annually in advance. Subscriptions auto-renew until cancelled.
- Self-Hosted: annual license fee or one-time lifetime fee, depending on your purchase. License is non-transferable without our written consent.
- Trials: free trials convert to a paid plan at the end of the trial unless you cancel before that date.
- Prices are exclusive of taxes. You are responsible for any applicable tax (VAT, sales tax, GST, withholding) under your local law.
- Payment failures may result in suspension after a 14-day grace period, then termination after 30 days unpaid.
4. License grant
Subject to these Terms and full payment, OpsIQ grants you a non-exclusive, non-transferable, revocable license to:
- Use OpsIQ Cloud for the term of your subscription;
- Install and operate OpsIQ Self-Hosted on infrastructure you own or control, for the term of your license;
- Use the OpsIQ APIs and SDKs to integrate OpsIQ with your own systems.
You may not: resell or sublicense the product without an authorised reseller agreement; remove copyright notices; reverse-engineer the closed components; or use OpsIQ to build a directly competing product.
5. Acceptable use
You will not use OpsIQ to send spam, harass users, distribute malware, infringe third-party rights, violate sanctions or export-control law, or operate workloads prohibited by applicable law. The full Acceptable Use Policy is incorporated by reference.
6. Data & privacy
Personal data is handled according to our Privacy Policy. For customer end-user data we process on your behalf, our standard Data Processing Agreement applies; enterprise customers may sign a custom DPA on request.
7. AI services
OpsIQ provides an interface to AI model providers (Anthropic, OpenAI, Gemini, Grok, or others you configure). The AI may produce outputs that are inaccurate, incomplete or unsuitable for a given context. You are responsible for reviewing and confirming any AI-generated action before it is executed against systems you own.
Action contracts, role gates and confirmation policies inside OpsIQ are tools you can use to manage this risk; you are responsible for configuring them appropriately.
8. Availability & SLA
OpsIQ Cloud targets 99.95% monthly uptime, excluding scheduled maintenance. If we miss the target, eligible customers receive service credits per the SLA terms attached to their plan. Self-Hosted availability is your responsibility.
9. Termination
- You can cancel any time from Account → Plan; access continues until the end of the current billing period.
- We may suspend or terminate access for material breach (acceptable use violations, non-payment, fraud), with reasonable notice where practical.
- On termination, you can export your data for 30 days. After that period it may be permanently deleted from production systems; backups are purged on the standard rotation.
10. Warranties & disclaimers
OpsIQ provides the service on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free or that AI outputs will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, OpsIQ's aggregate liability for any claim arising out of or relating to these Terms is limited to the amounts you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special or punitive damages, lost profits, lost data or business interruption.
12. Indemnity
You will indemnify and hold harmless OpsIQ against third-party claims arising out of your use of the service in violation of these Terms, your content, or your end-users' actions.
13. Changes to these Terms
We may update these Terms from time to time. Material changes are notified to account admins by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
14. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Disputes are resolved exclusively in the competent courts of Lagos, Nigeria, except where mandatory consumer law of your country requires otherwise.
